About the role:

You will be involved in a region for over 50 different territories, covering established jurisdictions such as India, developing jurisdictions such as the Middle East, through to emerging jurisdictions in Africa.

The successful candidate will have circa. 6-8 years of experience gained in a mixture of private practice and in-house, with a focus on either commercial or construction law. You will have the opportunity to gain experience in a wide variety of legal disciplines including, contract reviews, construction law advice, company law, cross border delivery, disputes, claims and insurance.

A proven track record of advising on legal matters across a range of jurisdictions is a distinct advantage, in particular civil law jurisdictions in the Middle East. A candidate who has lived and worked in the Middle East in the past would be highly regarded for this role.

The location of the role is Croydon.

Some travel may be required for this role. It will primarily consist of travel to South Asia and the Middle East, but is not fundamental to the role.

You will need to have excellent drafting, cooperation, communication and negotiation skills. You will be a person who can manage their own workload and is self-reliant, but is equipped with excellent teamworking and interpersonal skills as you’ll be advising key stakeholders on significant projects that shape the communities in which we live.


Job Description

  • Draft, review, and negotiate a broad range of commercial agreements, including consultancy agreements, framework agreements and NDAs for regional units including contracts with international financial institutions and developments banks.
  • Review and identify departures from our governance as part of the review of such commercial agreements and assist project teams in obtaining the necessary internal approvals where appropriate.
  • Confidently advise business on applicable laws, jurisdictions and regulations.
  • Revise and maintain legal templates for use across the Group ensuring they reflect current best practice and legislation.
  • Instructing and managing external law firms.
  • Draft and update legal guidance to raise awareness of recurrent topics and new regulations.
  • Advise business on litigation and insurance matters, which may include liaising with outside counsel and technical experts.
  • Assisting Regional Head of Legal and other members of regional team.
  • Support other parts of the Legal Department such as the Ethics & Compliance and Data Protection teams.


Candidate Specification

  • Qualified solicitor with 6-8 years PQE
  • Relevant experience either in private practice with a top national firm or in-house.
  • Good practical experience of the application of legal concepts and commercial law.
  • Legal experience of construction law preferably gained in a consultancy environment or with a client/contractor including cross border supply
  • Great analytical skills and excellent legal knowledge.
  • Ability to multitask, problem solve, and balance competing priorities.
  • Ability to confidently communicate effectively and confidently with a wide range of stakeholders.
  • Ability to work autonomously or as part of a bigger team with drive.
  • Understanding of Middle East countries civil laws and GCC market a distinct advantage but not essential
  • Understanding of International Development projects and contracts a distinct advantage but not essential

YOU ARE an exceptional lawyer with at least 3 years PQE and considerable hospitality industry experience.

YOU WILL help Mandarin Oriental achieve its ambitious growth goals by supporting Development in negotiating and documenting new hotel management and residences branding agreements while assisting your colleagues in all parts of the business to achieve the exceptional, every day, everywhere.

EXPECTATIONS

POSITION SUMMARY

Reporting to Mandarin Oriental’s Group Counsel (based in Hong Kong) you will work alongside other lawyers in the Legal Department, currently based in Hong Kong, London and Geneva. The Legal Counsel is responsible for managing all legal issues related to Mandarin Oriental’s business and entities worldwide, including providing legal advice, drafting and negotiating major contractual documentation, handling litigation and disputes, and providing legal support to Mandarin Oriental’s corporate offices, hotels and branded residences. Your primary focus is on supporting Mandarin Oriental’s business and development activities relating to hotel and branded residences projects. You will work closely with other corporate departments to advance Mandarin Oriental’s long-term business objectives while protecting its legal rights and interests.

SKILLS AND EXPERIENCE

Law degree, and current admission in a common law jurisdiction

At least three years PQE

Considerable experience with hospitality work, preferably hotel management agreements

Faultless fluency in legal-level English, both written and spoken (fluency in other languages an advantage)

Excellent communications and interpersonal skills

We are looking for a highly qualified Senior Legal Counsel with a passion for legal matters in logistics, commercial and corporate law, and data protection. This role will focus on fully supporting the organization on a wide range of legal and compliance issues.


Your Role

In this position you should enable sound business decisions and processes by providing accurate and timely advice on legal principles and procedures relating to a wide range of legal and commercial issues.


Your Responsibilities

  • Review and provide advice on legal and commercial issues in new contracts with customers and suppliers.

Your Skills and Experiences

  • Qualified Solicitor
  • Experience of a broad range of commercial transactions and legal matters preferably with experience of cross border and international transactions.
  • Knowledge of the logistics industry with an ability to provide commercially focussed advice and solutions.
  • Experience of dealing with outsourcing transactions including agreements dealing with transfer of assets, key performance indicators and the transfer of employees through the application of the Transfer of Undertakings (Protection of Employment) Regulations 2006.
  • Experience of dealing with freight forwarding ie sea freight, air freight, overland, integrated logistics and multimodal.
  • Have a good working knowledge of all the international conventions and standard trading conditions eg CMR, Hague Visby Rules, Warsaw Convention, Montreal Convention, FIATA, BIFA, RHA etc.
  • Communicate effectively across broad functional and organizational lines. Ability to build strong client relationships and gain the trust and confidence of clients.

Legal Counsel


Hybrid working – Commutable distance to London, Manchester or Birmingham local office.

As part of the legal function you will support the business in managing all legal issues within all legal entities of the Munich Re Speciality Group to include strategic projects, distribution contracts, underwriting, wordings, reinsurance, service contracts, regulatory and compliance support.


Responsibilities

  • You will advise the Lloyd’s managing agent Munich Re Syndicate Limited, on business written by Lloyd’s Syndicate 457 as well as by Syndicate 5306 on behalf of Lloyd’s Europe
  • Provide advice on (re)insurance law issues across MR Primary Specialty GSI4 Group globally including wordings, delegation and distribution contracts.
  • Negotiate and draft commercial contracts including intra-group and third party service agreements.
  • Support and advise the business on non-claims litigation, ECO claims, investigations and other contentious matters.
  • Work with and support Compliance on regulatory matters and complex sanctions underwriting and claims issues.
  • Provide legal support to Munich Re Specialty Global Markets’ UK and international distribution channels including in relation to Lloyd’s Europe.
  • Work with the Corporate Underwriting Department in Head Office in Germany to ensure all relevant group guidelines understood and implemented across MRSG.
  • Provide advice to and liaise with Wordings Experts to maintain wordings and processes in accordance with group wide policies.
  • Develop and draft template contracts and other processes aimed at achieving consistency and streamlining provision of legal advice.
  • Undertake targeted legal research whilst being able to deliver commercially on-point advice
  • Stay informed of legal and regulatory developments, perform horizon scanning to promote knowledge sharing across the team and training to the wider business
  • Support the Legal team in identifying any significant legal exposures, provide legal updates to the business and where appropriate manage external counsel instructions.
  • Participate in London Market initiatives where required.
  • Help drive forward good Conduct for the business to deliver the best outcomes for customers / policyholders.
  • Understand all appropriate lines of escalation and the responsibilities of the Product Conduct Risk Strategy Group (PCRSG), Underwriting & Claims Sub Committee (UCSC), ExCo and Board for Conduct Risk.


Knowledge and Skills

  • Qualified Lawyer in England and Wales with – mid PQE with litigation/coverage background
  • Background and specialisation in insurance law. Good understanding and experience working with the insurance industry, ideally Lloyd’s Market
  • Comprehensive understanding of legislative, regulatory and competitive environment including consumer products.
  • Good motivational and effective time management skills.
  • Strong drafting, written and verbal communication, attention to detail and, negotiation skills


Education and Professional Qualifications

  • University Law Degree or equivalent
